Terms of Service

1. The agreement

These terms are an agreement between The Art of Good, LLC, a California limited liability company ("TAOG", "we", "us"), and the business that subscribes to SignalReady ("the client", "you"). You accept them when an owner agrees to them in SignalReady, when you pay for a plan, or when you use SignalReady, whichever comes first. The person accepting confirms they can agree to these terms on behalf of the business.

If you and TAOG have also signed an order form or statement of work, it takes precedence over these terms where the two conflict.

Definitions used below:

• SignalReady — the software, workspace and rooms TAOG provides at the address we give you.
• Signal — the brand document TAOG builds for you from your materials and research, and approves with you.
• Account — your subscription: its plan, its seats, its brands and its billing.
• Seat — one named person's access to your account.
• Owner — a seat that can see billing and manage the account.
• Ask — one piece of work the model does for you. An ask is counted whenever the model does work for you.
• Outputs — what SignalReady produces for you: answers, drafts, plans, documents and files.

2. The service, accounts and seats

TAOG builds your Signal and gives your team access to SignalReady, which works from it. Your plan sets the number of seats and the monthly allowance of asks.

• Seats are for named people. One seat is one person; seats may not be shared. You may give seats to people outside your company, such as an agency or consultant, and you are responsible for what they do in your account.
• One person may hold seats on more than one account. A consultant working with several unrelated clients signs in once and sees each client separately. Nothing in one account is visible from another.
• Owners can see billing and manage the account. You keep at least one owner at all times.
• Keep sign-in details secure, and tell us promptly at contact@theartofgood.ad if you think someone has used your account without permission.
• Changes to the service. We improve SignalReady continually, including the AI models it runs on. We will not reduce its core function during a paid term without notice.

3. Plans, fees and price changes

You pay the fee for your plan in advance, through Stripe, by the method you choose at checkout.

• Monthly plans have a minimum term of three months. After that they continue month to month until canceled.
• Annual plans are paid in advance for twelve months and renew for another twelve unless canceled. Fees for an annual term are not refunded, in whole or in part, if you cancel during it.
• Additional brands on the same account are billed at the rate for additional brands on your plan.
• Taxes. Fees do not include sales or similar taxes. Where we are required to collect tax, it is added to your invoice.
• Late payment. If a payment fails, our payment provider will retry it. Your account keeps working during the retries. If payment is still not made, your account becomes read-only until it is (section 5).
• Your price is protected. If we raise our prices, you may keep your current plan at your current price for as long as you remain a client. If you change plans, you move to one of the plans we offer at that time, at its price then; plans we no longer offer cannot be chosen.

4. Usage, overage and the safety ceiling

Your plan includes a number of asks each month, counted from the day your billing started. Unused asks do not carry over. Annual plans receive their allowance a month at a time.

• Going over. Work does not stop when you pass your allowance. If your account uses more than your plan includes in a month, we may charge for the extra at the same per-ask rate your plan works out to, after telling you first. We'll normally talk with you about the right plan before charging anything.
• Where you stand. Account settings show how much of this month's allowance you have used.
• The safety ceiling. Each account has a usage ceiling well above its allowance. It exists to stop a runaway process, not a busy month. If an account reaches it, new work pauses until we raise it or the month rolls over; reading and exporting are never affected.

5. Canceling, suspension and your data afterward

• To cancel, an owner emails cancel@theartofgood.ad. We confirm by reply. Your plan ends at the end of the period already paid for, and not before the end of any minimum term.
• Suspension. We may make an account read-only if fees remain unpaid after retries, or if the account breaks section 8. Read-only means everyone can still read and export; nothing new can be made.
• After your plan ends, the account is read-only for 30 days so you can export your work. We then keep your account and its content for a further 12 months in case you return, after which we delete it. You can ask us to delete it sooner.
• Removed seats. When a seat is removed, that person's private chats can be exported by an owner for 30 days, and are then deleted.
• We can end the service on 90 days' notice, or immediately for a serious breach. If we end it without cause, we refund fees paid for any period after it ends.

6. Who owns what

• You own your material. Everything you give us, and your Signal once it is paid for, is yours. You keep your Signal and your exports if you leave.
• You own your outputs. As between you and TAOG, what SignalReady makes for you belongs to you, and you may use it for any lawful purpose. Section 7 explains what that ownership can and cannot promise.
• TAOG owns the method. The software, prompts, room and role instructions, frameworks and the way SignalReady works belong to TAOG. Your subscription lets your seats use them; it does not transfer them.
• No extraction. You agree not to copy, reverse-engineer, scrape or attempt to extract SignalReady's instructions, prompts or method, or use SignalReady to build a competing product.
• What we may use. We use your material only to provide and support your service. We may use anonymous, aggregated usage figures, never your content, to run and improve SignalReady. Your content is not used to train AI models.

7. AI output, originality and regulated categories

SignalReady uses AI models to produce outputs. AI can be wrong, incomplete, or similar to material that already exists.

• You review before you use. You are responsible for checking outputs before publishing or relying on them, including facts, claims, and whether they suit your audience and the law where you operate.
• No guarantee of originality. SignalReady is built to avoid copying and to steer away from known campaigns, but TAOG cannot guarantee that an output is original or free of third-party rights. TAOG does not indemnify you against claims that an output infringes someone else's work, including another brand's campaign, name or trademark. Clear anything important, such as names, taglines and marks, before use.
• Regulated categories. If your account is set up for a regulated category (for example alcohol, health or financial services), SignalReady checks work against a general list of rules for that category. You can review this list, and add to it or change it if your legal team asks. That check is a screen, not legal or regulatory review. Nothing it passes is cleared, approved or compliant because it passed. You remain responsible for legal and regulatory review.
• Not professional advice. Outputs are marketing and strategy material. They are not legal, financial, medical or other professional advice.

8. Acceptable use and the safety screen

Acceptable use. You agree not to use SignalReady or any TAOG property to threaten, harass or harm anyone, or to plan or carry out anything unlawful. We may suspend access that breaks this.

Safety review. Messages entered in SignalReady, Signal Room (our stakeholder interview program) and the chat on our website are screened automatically for four things: threats of violence or damage to people or property; indications that someone may harm themselves; reports of serious wrongdoing such as harassment, discrimination, assault, safety violations or fraud; and requests for help with clearly illegal activity. Content the screen identifies is recorded and reviewed by The Art of Good. No other content is reviewed by a person as part of this screen. We keep flagged content only as long as needed to respond to it, and we may act on it where we believe someone is at risk of harm or where the law requires. Screening is automated and may miss things or flag things in error; it is not a monitoring or emergency service.

9. Confidentiality and privacy

• Your information stays confidential. We treat your materials, Signal, chats and outputs as confidential. We use them only to provide the service and share them only with the providers who run it, under confidentiality obligations.
• Our information stays confidential too. You treat SignalReady's method, pricing you have negotiated, and anything we mark confidential the same way.
• Privacy within your team. Each person's chats are private to them. Your Library and Signal are shared across your account. TAOG staff can open your workspace to support you; each time they do, it is recorded.
• Service providers. SignalReady runs on Google Cloud (hosting and storage, in the United States), Anthropic (AI processing) and Stripe (payments). Our privacy policy explains what we collect and your rights.
• Stakeholder interviews. Interview answers are used to build your Signal. Individual answers are not shown to you with names attached, as promised to respondents.

10. Security

We protect your account and content with the measures below. We will keep them at least this strong for as long as you are a client.

• Sign-in without passwords. People sign in with their Google account, or with a one-time link or code sent to their email. There is no password to steal or reuse. Each person signs in as themselves, and only addresses we have invited can get in.
• Encrypted in transit and at rest. Connections to SignalReady are encrypted. Your content is stored on Google Cloud, which encrypts all stored data by default using AES-256.
• Clients are kept apart. Every request is checked on our servers against the account and brand it belongs to. Automated tests check that one client cannot reach another's data.
• Staff access is limited and logged. TAOG staff open your workspace only to support you, and each time they do, it is recorded.
• Backups. Your data is backed up regularly and can be restored to an earlier point in time.
• Payments. Card details are handled by Stripe. TAOG never sees or stores card numbers.
• AI processing. Your content is sent to Anthropic to generate responses. Under Anthropic's commercial terms, it is not used to train their models.
• Deletion. You can ask us to delete your data at any time. When your plan ends, deletion happens automatically on the schedule in section 5.
• If something goes wrong. If we learn that your data has been accessed without permission, we will tell you promptly and as the law requires, and tell you what we are doing about it.

11. Warranties and limits of liability

• What we promise. We will provide SignalReady with reasonable skill and care, and fix problems we are told about within a reasonable time.
• What we don't. Apart from that, SignalReady is provided "as is". We do not promise it will be uninterrupted or error-free, or that outputs will be accurate, original or fit for a particular purpose.
• The cap. Each side's total liability under these terms is limited to the fees you paid TAOG in the 12 months before the event that caused the claim.
• No knock-on losses. Neither side is liable for indirect or consequential losses, such as lost profits, lost revenue, or lost business from a campaign.
• What the cap doesn't cover. Your obligation to pay fees, a breach of confidentiality, a breach of section 6 (the method), and anything the law does not allow to be limited.
• You cover us for your content. You will defend TAOG against claims arising from material you provide, or from how you use outputs after reviewing them.

12. Research and demonstration access

TAOG sometimes gives access without charge, for research or demonstration. Where we do:

• It runs for the period we tell you and ends automatically. Your account then becomes read-only; nothing is deleted, and section 5 applies from that date.
• We are studying how the tool is used, and will tell you so at the start, along with the feedback we are hoping for.
• No fees are charged, and sections 3 and 4 on fees and overage do not apply. The safety ceiling still does.
• Everything else in these terms applies, including ownership, confidentiality and acceptable use.

13. Changes, law and general terms

• Changes to these terms. We may update these terms. We will email account owners at least 30 days before a change that affects you takes effect, and an owner will be asked to agree to the updated terms in SignalReady. Continuing to use SignalReady after that date means you accept the change. Price changes follow section 3, not this clause.
• Governing law. These terms are governed by the laws of the State of California. Disputes will be heard in the state or federal courts located in San Diego County, California, and both sides agree to those courts.
• Notices. We send notices to the account owner's email. You send notices to contact@theartofgood.ad; cancellations go to cancel@theartofgood.ad.
• Assignment. Neither side may transfer this agreement without the other's consent, except as part of a merger or sale of the business.
• Events outside our control. Neither side is responsible for delays caused by events beyond its reasonable control.
• Whole agreement. These terms, any signed order form, and our privacy policy are the whole agreement. If a part is unenforceable, the rest still applies.
